Terms of Service

1.Acceptance of Terms

By accessing or using the Cosmetica platform and services (collectively, the "Service") available at getcosmetica.com, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Cosmetica ("we," "our," or "us").

2.Description of Service

Cosmetica is an AI-powered cosmetic regulatory compliance platform that helps beauty and personal care companies navigate global regulatory requirements. The Service includes, but is not limited to:

• Multi-market regulatory compliance analysis for cosmetic formulations
• AI-powered ingredient screening and risk assessment
• Automated cosmetic product label generation
• Product Information File (PIF) management and documentation
• Regulatory database access covering 15+ global markets
• Compliance reporting and export tools

3.Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Maintain the security of your password and accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

Each account is for a single individual user. You may not share your login credentials with others. Organizations requiring multiple users should create separate accounts for each team member under their organization's workspace.

4.Subscription & Billing

4.1 Subscription Plans

The Service is offered on a subscription basis with various plan tiers. Details of available plans, features, and pricing are published on our pricing page and may be updated from time to time.

4.2 Trial Period

We offer a 7-day trial for $1 to allow you to evaluate the Service. At the end of the trial period, your subscription will automatically convert to the selected paid plan unless you cancel before the trial period ends.

4.3 Recurring Billing

All subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis for the applicable subscription fees.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

4.5 Plan Changes

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades take effect at the beginning of the next billing cycle.

4.6 Refund Policy

Monthly subscriptions are non-refundable. For annual subscriptions, you may request a pro-rated refund for the unused portion of your subscription term within the first 30 days of purchase or renewal. Refund requests should be sent to legal@getcosmetica.com.

5.Permitted Use

You may use the Service only for the following lawful business purposes:

• Regulatory compliance research for cosmetic and personal care products
• Formulation analysis and ingredient screening
• Cosmetic product label generation and verification
• Internal business use within your organization
• Generating compliance reports for regulatory submissions
• Managing product documentation and regulatory records

6.Prohibited Use

You agree not to use the Service to:

• Develop a competing service. You may not use the Service, its data, or outputs to build, train, or enhance a product or service that competes with Cosmetica.
• Scrape or harvest data. You may not use automated means (bots, crawlers, scrapers) to access, extract, or collect data from the Service.
• Reverse engineer. You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service.
• Support illegal products. You may not use the Service in connection with products that contain illegal substances or are intended for illegal purposes in your jurisdiction.
• Share credentials. You may not share your login credentials with unauthorized individuals or allow multiple people to use a single account.
• Circumvent security. You may not attempt to bypass, disable, or interfere with any security features of the Service.
• Misrepresent compliance. You may not use Cosmetica's name, logo, or analysis outputs to falsely represent that a product has received official regulatory approval.

7.Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, algorithms, user interface, design, documentation, regulatory databases, and all related intellectual property, is and remains the exclusive property of Cosmetica. These Terms do not grant you any ownership rights in the Service.

7.2 Your Intellectual Property

You retain full ownership of all data, formulations, product information, and other content that you upload to or create within the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service to you.

Our use and protection of your data is further governed by our Privacy Policy, which is incorporated by reference into these Terms.

10.Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, Cosmetica does not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• The regulatory data and analysis will be complete, accurate, or current at all times
• Use of the Service will guarantee regulatory approval for any product in any market
• AI-generated outputs will be free of errors or omissions

You acknowledge that regulatory requirements change frequently and that you are ultimately responsible for ensuring your products comply with all applicable laws and regulations.

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COSMETICA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL COSMETICA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO COSMETICA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.Indemnification

You agree to indemnify, defend, and hold harmless Cosmetica and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any products you develop, manufacture, or distribute using information obtained through the Service
• Your infringement of any third-party rights

13.Termination

13.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription through your account settings or by contacting us at legal@getcosmetica.com.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe is harmful to the Service, other users, or Cosmetica.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You will have 30 days following termination to export your data from the platform. After this 30-day period, we will delete your data in accordance with our Privacy Policy.

14.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any legal action or proceeding not subject to arbitration (as described in Section 15) shall be brought exclusively in the state or federal courts located in Delaware.

15.Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@getcosmetica.com. We will attempt to resolve the dispute informally within 30 days.

15.2 Binding Arbitration

If a dispute cannot be resolved informally, you and Cosmetica agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or remotely via videoconference at the election of either party.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be void.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

16.Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' advance notice via email to the address associated with your account. We will also update the "Last updated" date at the top of these Terms.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue using the Service before the changes take effect.
